1. Agreement to Terms
By accessing or using the services provided by Kineticode Ltd ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Kineticode provides digital consultancy services including but not limited to web development, mobile application development, AI solutions, cloud architecture, and technical strategy consulting. The specific scope of services will be outlined in individual project agreements.
3. Intellectual Property
Unless otherwise agreed in writing:
- All intellectual property rights in deliverables created specifically for you will transfer upon full payment.
- We retain rights to any pre-existing materials, tools, and methodologies used in providing our services.
- We may use general knowledge, skills, and experience gained during the engagement.
4. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Invoices are payable within 30 days of issue
- We reserve the right to charge interest on overdue payments at 8% above the Bank of England base rate
- All prices are exclusive of VAT unless otherwise stated
5. Confidentiality
We will treat all confidential information provided by you with the utmost care and will not disclose it to third parties without your consent, except as required by law. This obligation survives the termination of our engagement.
6. Limitation of Liability
To the fullest extent permitted by law, our liability for any claim arising from our services shall be limited to the fees paid for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.
7. Warranties
We warrant that our services will be performed with reasonable skill and care. We do not warrant that deliverables will be error-free or uninterrupted, but we will use reasonable efforts to correct any material defects reported within 30 days of delivery.
8. Termination
Either party may terminate an engagement by providing written notice as specified in the project agreement. Upon termination, you shall pay for all services rendered up to the termination date.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Your continued use of our services constitutes acceptance of any modified terms.
